Terms of Service

These Terms of Service form a binding agreement between you and TempoPay regarding your access to and use of the Service. Read them carefully — crypto transactions are irreversible and your responsibilities under these Terms are real.

Summary

TempoPay is a non-custodial tool. Blockchain transactions are final. You are responsible for picking the right network, the right asset, the right amount, and the right recipient address. TempoPay cannot reverse or refund any transfer.

Acceptance of Terms

These Terms of Service (the "Terms") constitute a binding legal agreement between you ("you", "user", "merchant", or "payer") and the TempoPay project ("TempoPay", "we", "us", or "our") governing your access to and use of paytempo.app, its subdomains, the merchant console, the link creation flow, and all related interfaces and APIs (collectively, the "Service").

By accessing, connecting a wallet to, creating a link on, paying through, or otherwise using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy and Risk Disclosure. If you do not agree, do not use the Service.

Eligibility

You may use the Service only if:

  • You are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher.
  • You have the legal capacity to enter into a binding contract.
  • You are not located in, established in, or a resident of any jurisdiction subject to comprehensive sanctions administered or enforced by the United States, the United Kingdom, the European Union, the United Nations, or any other relevant authority.
  • You are not a person with whom transactions are prohibited under applicable law or listed on any relevant sanctions, denied persons, or embargoed parties list.
  • Your use of the Service is lawful in every jurisdiction that applies to you.

You represent and warrant that each of these conditions is true every time you use the Service.

Description of the Service

TempoPay provides a non-custodial multi-chain crypto payment link infrastructure. The Service allows merchants to create shareable payment links that specify a network, asset, amount, and recipient address, and allows payers to settle those links from their own wallets on the relevant blockchain.

Supported networks and assets at any given time are those shown in the Service interface. Currently the Service supports, without limitation, SOL and USDC on Solana, and ETH and USDC on Base. Expansion toward additional networks such as Tempo and Arc is a stated direction but not a guarantee.

Non-custodial model

TempoPay is strictly non-custodial. This is a structural property of the Service with significant consequences:

  • We never hold, custody, control, freeze, or move user funds.
  • We never generate, request, import, or store seed phrases or private keys.
  • All transfers are settled directly between user wallets on the relevant blockchain.
  • Once a transaction is broadcast and confirmed, it is irreversible.
Important

Because TempoPay does not take custody, we cannot recover funds sent to the wrong address, on the wrong network, from a compromised wallet, or due to any user error. No support request can undo an on-chain transaction.

Wallets and console state

The Service does not require an account in the traditional sense. Your ability to use the merchant console, save wallets, set default recipients and manage payment links is tied to your browser session and, where applicable, to wallet signatures you produce.

You are responsible for:

  • Securing the device, browser, and wallet extension you use to access the Service.
  • Maintaining custody of your seed phrase and private keys.
  • Recognizing that clearing local storage, switching browsers, or losing access to your wallet may remove access to console state you have saved.

Fees and fee splits

The Service may deduct a platform fee from each successful payment. The fee rate applied at the time of link creation is displayed in the Service interface and reflected in the link metadata. At the time of publication, the standard platform fee is 0.5%.

Fees are split on-chain as part of the payment transaction, directed to a TempoPay-controlled fee wallet on the relevant network. Network gas or priority fees are separate and paid by the party signing the transaction.

We may change fee rates or fee mechanics from time to time. Changes apply to links created after the change takes effect.

Merchant and payer responsibilities

You are solely responsible for how you use the Service. In particular, you are responsible for:

  • Recipient accuracy. The recipient address on a payment link is final. You must confirm that it belongs to you and that it matches the intended network.
  • Network selection. Sending assets on the wrong network can permanently lose those assets.
  • Asset selection. Different representations of the same symbol (for example USDC on different chains) are not interchangeable.
  • Amount accuracy. The amount entered at creation is what the payer will be asked to sign for.
  • Tax treatment. Classification, reporting, and tax treatment of crypto payments in your jurisdiction is your responsibility.
  • Local law compliance. Your use of the Service for commercial activity must comply with all applicable local law.

Prohibited uses

You agree not to use the Service to:

  • Violate applicable law, regulation, or the rights of any third party.
  • Launder funds, finance terrorism, evade sanctions, or facilitate any criminal activity.
  • Sell or distribute illegal goods or services.
  • Impersonate any person or entity, or misrepresent the source, nature or destination of funds.
  • Probe, scan, stress, or attempt to gain unauthorized access to any part of the infrastructure.
  • Deploy automated scripts, scrapers, or bots that degrade the Service for other users.
  • Circumvent fee logic, front-end validation, or security controls.
  • Use the Service for any purpose that is deceptive, predatory, or harmful to end users.

Compliance and sanctions

You are solely responsible for compliance with all laws that apply to you, including anti-money-laundering rules, counter-terrorist-financing rules, sanctions regimes, consumer protection law, and tax law. TempoPay may, at its discretion and without notice, restrict access from certain jurisdictions, block specific addresses, or cooperate with lawful requests from competent authorities.

No refunds, no reversals

All payments made through the Service are final and irreversible at the protocol layer. TempoPay does not process refunds, chargebacks, or reversals. Any refund or dispute between a merchant and a payer is a matter between those parties and must be handled outside of TempoPay.

Third-party services

The Service integrates with third-party wallet providers, RPC providers, block explorers, and infrastructure vendors. We do not control these third parties. Their terms and privacy policies apply when you use them. TempoPay is not responsible for outages, defects, security incidents, fee changes, or behavioral changes of third parties.

Intellectual property

All text, graphics, design, layout, source code, and trademarks associated with the Service are owned by the TempoPay project or its licensors and are protected by applicable intellectual property law. You receive no license except the limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.

Service availability

The Service is offered on an "as is" and "as available" basis. We do not promise uninterrupted availability, specific response times, settlement windows, or compatibility with any particular wallet, browser or network condition. Scheduled and unscheduled downtime can occur.

Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided without any warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted operation.

TempoPay makes no warranty about the future value, legal treatment, tax treatment, or long-term viability of any blockchain network or digital asset supported by the Service.

Limitation of liability

To the maximum extent permitted by applicable law, TempoPay and its contributors, operators, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or digital assets, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, aggregate liability of TempoPay for any claim arising out of or relating to these Terms or the Service shall not exceed the total platform fees paid by you to TempoPay in the three (3) months immediately preceding the event giving rise to the claim.

High-risk environment

Blockchain use carries exceptional risk. Losses can be total. You agree that you assume all risk of loss, and that TempoPay is not an insurer of your transactions, wallets, or chosen networks.

Indemnification

You agree to indemnify, defend, and hold harmless TempoPay and its contributors, operators, and affiliates from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law, or your infringement of any third-party right.

Termination

TempoPay may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms, applicable law, or acceptable use. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution) will survive termination.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the TempoPay operator is established, without regard to its conflict-of-laws rules. To the extent permitted by law, any dispute arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation, and failing that, through binding arbitration or the competent courts of that jurisdiction.

Nothing in these Terms affects any mandatory rights you may have under your local consumer protection law that cannot be waived.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes may be communicated through the Service. Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.
